Whether you operate as a sole trader (self-employed) or a limited company fundamentally changes what must appear on your invoices. Getting this wrong doesn't just look unprofessional — it breaches UK law.

Sole Trader Invoices

A sole trader is an individual running a business. You are the business. No separate legal entity.

What Must Be on a Sole Trader Invoice:

  • Your full name (or trading name, if different)
  • Your business address
  • Your email and phone
  • Your UTR (Unique Taxpayer Reference) — a 10-digit number HMRC gives you when you register as self-employed
  • Unique, sequential invoice number
  • Invoice date
  • Client name and address
  • Description of services
  • Amount in GBP

What NOT to Include (Critical):

  • ❌ Company Registration Number — You don't have one. Sole traders aren't registered at Companies House.
  • ❌ "Ltd" or "Limited" — Illegal if you're not a limited company. HMRC can penalise you.
  • ❌ VAT number (unless you voluntarily registered for VAT above £90,000 turnover)

Limited Company Invoices

A limited company is a separate legal entity from you, the owner. It's registered at Companies House. This gives you limited liability — your personal assets are protected if the company fails.

What MUST Be on a Limited Company Invoice (Legal Requirement):

  • Company name (exactly as registered at Companies House)
  • Company registration number (starts with 0, typically 8 digits)
  • Registered office address
  • Unique, sequential invoice number
  • Invoice date
  • Client name and address
  • Description of goods/services
  • Amount due in GBP
  • VAT number (if registered)

Critical: The "Ltd" Suffix

Your company name on invoices must match exactly how it's registered at Companies House. If registered as "John Smith Design Ltd", you invoice as "John Smith Design Ltd", not "John Smith Design" or "JSDC Ltd".

Company Registration Number (CRN)

This is a legal requirement for limited companies. Clients use it to verify you exist and are legitimate. You'll find it:

  • In your Certificate of Incorporation (document sent when you registered)
  • On Companies House website (search free at companieshouse.gov.uk)
  • On your business bank statements

Trading As a Different Name (Sole Traders)

You can trade under a name different from your legal name. For example, your legal name is Sarah Johnson, but you trade as "Creative Copy Studio".

On your invoice, show both:

This helps clients identify you, while HMRC knows your real name.

What If You Get It Wrong?

If a sole trader invoices with "Ltd" or a limited company fails to show its registration number:

  • Clients may refuse payment (suspicious invoice)

Switching from Sole Trader to Limited Company
